XRP’s Real Value Isn’t Price, Says Evernorth, Pro-Ripple Lawyer Responds with a Brutal Reality Check

The XRP debate took a sharp turn this week after Evernorth argued that XRP should be judged by what it does, not by the XRP price. The company framed XRP as infrastructure for moving value across financial networks, but pro-Ripple lawyer Bill Morgan responded with a blunt reminder: the XRP community was originally sold at a price story tied to utility and adoption.

The debate quickly became about more than just words. Evernorth is trying to go public through a proposed merger with Armada Acquisition Corp. II and says it has raised more than $1 billion to build an XRP-focused treasury business.  So even though the company is talking about XRP’s utility and its role in financial infrastructure, its own SEC filing still spends a lot of time discussing XRP price volatility as a major business risk.

Evernorth Says XRP Was Built for Movement, Not Speculation

Evernorth stated that XRP is “better understood by what it does than by what it costs.” The firm is going for a stock market listing via a merger deal with Armada Acquisition Corp. II and has registered an S-4 with the SEC.

The filing shows the creation of an XRP treasury company listed on Nasdaq with the ticker XRPN, pending SEC review and exchange and shareholders’ approval. Evernorth stated that it had generated more than $1 billion in gross proceeds and would be holding and managing XRP using treasury and yield management strategies.

The firm has also revealed its support from various investors and strategic partners including Ripple, SBI Holdings, Pantera Capital, Kraken, and Arrington Capital. None of those disclosures guarantee future performance, and the transaction has not yet been completed.

Bill Morgan Brings the XRP Price Back Into Focus

According to Bill Morgan, the Ripple community has been talking about XRP as a price story for many years because the investors were constantly promised that adoption will somehow help the XRP price in the future.

It was pretty clear that if XRP became more useful for payments, treasury management or institutional settlements, then market players should logically have expected this increased usefulness to affect the valuation. This was part of the XRP story well before Evernorth started pushing its infrastructure story.

Morgan’s response does not reject XRP’s utility. It challenges the idea that utility can be separated from price expectations after years of marketing that linked the two together.

The Reality Check Is In Evernorth’s Own Filing

The most interesting part of this debate is that Evernorth’s filing itself still contains extensive price-related risk disclosures. The company notes that the value of the company’s securities could be impacted by the volatility of XRP and that the XRP price could fall prior to or following the proposed transaction.

In other words, even if a company argues that XRP should be considered from the utility perspective, it will still need to reveal the fact that XRP price volatility poses an important risk for the business. That creates a tension between the public message and the legal filing.

Evernorth is also not proposing a payment-only vehicle. It is proposing a treasury company that intends to hold XRP, manage it actively, and pursue yield strategies. The economics of that model are directly influenced by the XRP price.

What This Means for XRP Holders

For ordinary investors, the debate is less philosophical than it sounds. XRP can be useful for moving value across networks, and institutions can still evaluate it as a financial asset. The two ideas are not mutually exclusive.

The key takeaway is that utility alone has not ended the market’s focus on price. Evernorth’s own structure depends on the value of the XRP it plans to hold, and Morgan argues that this is exactly why the XRP price remains central to the conversation.

So the real story may not be “utility versus price.” It may be that XRP’s utility thesis and XRP price expectations have been intertwined from the beginning, and separating them now is much harder than many advocates admit.
